This agreement (hereinafter "Agreement", "Terms of Service", "TOS" or "Terms") constitutes a legal agreement between you and StockElementsFX ( "We", "Us", or "Transparent Images Club") a provider of royalty-free transparent images ("Images").
Please read this agreement carefully. By agreeing to our Terms of Service on the account signup form, signing up, communicating with us, paying for and/or using our services, you are agreeing to be bound by the conditions and terms of this agreement. These Terms, product offerings, and pricing are subject to change at any time, without notice. If you do not agree to any changes, your only recourse is to stop using the service; in these situations, we will provide a pro-rated refund for unused services. Transparent Images Club sources many images from multiple asset distributors and ensures we are provided with a Royalty Free Distribution Licence, which allows us to provide you with a Royalty Free License to use Transparent Images in your projects.
Transparent Images Club is not responsible for services, errors, omissions and improper licensing issues for Transparent Images provided by third-party providers. Specifically (but not limited to,) if third-party provides us with Transparent Images that they do not have the rights to provide us, then you must stop using these Transparent Images once notified by us. Additionally, any subject images must be removed from any client projects and any online website, including, but not limited to Facebook and YouTube. Failure to do so will likely put you in a non-compliance license situation with the original author of subject Transparent Images. You will not be compensated for any time, material, development, design or other costs pertaining to the use of the subject Transparent Images.
In the event that StockElementsFX cannot continue providing Customer with Membership for any reason, Customer will not be compensated in any way. There are no refunds of the Fees beyond the original money back guarantee period, and all services rendered are free services.
Acceptance of Commercial Relationship and E-mail Communications
By purchasing Services, you are agreeing to this commercial relationship with us. As such, you agree our communications to you are solicited e-mails and not SPAM.
From time to time, we offer our Customers the opportunity to participate in special offers, contests or surveys, and we may feel it is important to notify you about new products and services through promotional materials and newsletters. You may choose to opt out of receiving these notifications either by responding to the unsubscribe instructions included in the e-mail or by contacting our Support Team.
Limitations
a) Images and Videos depicting identifiable persons may not be used for pornographic, unlawful or other immoral purposes, or in a way that can give a bad name to people, or imply endorsement of products and services by those persons, brands, organizations, etc.
b) Since StockElementsFX does not require a written Model Release for each Transparent Images that shows identifiable people, we cannot guarantee that you will be able to use the Transparent Images for any purpose you like.
c) Certain Transparent Images may be subject to additional copyrights, property rights, trademarks, etc. and may require the consent of a third party or the license of these rights. StockElementsFX does not represent or make any warranties that it owns or licenses any of the mentioned, nor does it grant them.
d) Once a purchase has been made you will be directed to your order. Under no circumstances are you allowed to share that link to a third party.
Warranty and liability
THE WEBSITE AND ITS CONTENT ARE PROVIDED "AS IS". WE OFFER NO WARRANTY, EXPLICIT OR IMPLIED, REGARDING ANY CONTENT, THE WEBSITE, THE ACCURACY OF ANY INFORMATION, OR ANY RIGHTS OR LICENSES UNDER THIS AGREEMENT INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.StockElementsFX DOES NOT REPRESENT OR WARRANT THAT THE WEBSITE OR ITS CONTENT WILL MEET YOUR REQUIREMENTS OR THAT THEIR USE WILL BE UNINTERRUPTED OR ERROR-FREE. StockElementsFX SHALL NOT BE LIABLE TO YOU OR TO ANY OTHER PERSON OR ENTITY FOR ANY GENERAL, PUNITIVE, SPECIAL, INDIRECT, CONSEQUENTIAL OR INCIDENTAL DAMAGES, OR LOST PROFITS OR ANY OTHER DAMAGES, COSTS OR LOSSES ARISING OUT OF YOUR USE OF THE WEBSITE OR ITS CONTENT.
